Following completion of DHLT's acquisition of D Project Tan Duc 2, a logistics property located in Vietnam (the "Acquisition"), on 5 July 2024, an acquisition fee of approximately S$0.26 million (being 1.0% of the total purchase consideration for the Acquisition) (the "Acquisition Fee") is payable to DHAMA, being the manager of DHLT, for the Acquisition pursuant to the trust deed constituting DHLT dated 2 November 2021 (the "Trust Deed"). As the Acquisition is an interested party transaction under Appendix 6 of the Code on Collective Investment Schemes issued by the Monetary Authority of Singapore, DHAMA is required to receive the Acquisition Fee in Units and such Units are not to be disposed of within one year from the date of their issuance.

Accordingly, the 450,031 Units are issued to DHAMA (the "Acquisition Fee Units") as payment of the Acquisition, in accordance with the Trust Deed, and the Acquisition Fee Units are not to be disposed of within one year from the date of their issuance.

Pursuant to a unit lending agreement dated 19 November 2021 between the Sponsor and DBS Bank Ltd., the stabilising manager for the Offering (as defined below) (the "Unit Lending Agreement"), the Sponsor lent 27,000,000 Units to DBS Bank Ltd. As a result of this transaction, the Sponsor had a deemed interest in 27,000,000 Units.

DBS Bank Ltd. had, on 24 December 2021, partially exercised the over-allotment option in respect of 25,751,400 Units for the consideration of S$20,601,120 (being the offering price of S$0.80 per Unit) payable on the option closing date, being 30 December 2021, solely for the purpose of covering the balance of the Units which had been over-allotted in connection with the Offering and which were not covered by purchases made under the stabilisation action.

Accordingly, DBS Bank Ltd. has, on 30 December 2021, paid the consideration of S$20,601,120 to the Sponsor in respect of the partial exercise of the over-allotment option in respect of 25,751,400 Units, and re-delivered the remaining 1,248,600 Units in respect of which the over-allotment option was not exercised to the Sponsor and the Sponsor acquired direct interest in these Units re-delivered by DBS Bank Ltd. Upon cessation of the stabilisation action and the redelivery of these Units, the Sponsor holds a direct interest in a total of 68,748,600 Units, representing 10.185% of the total number of Units in issue.

The Listed Issuer, DHLT, is a real estate investment trust. DHLT is managed by the manager, Daiwa House Asset Management Asia Pte. Ltd.
